Beta Program Terms

These Beta Program Terms apply to an invitation-only evaluation of Sheetward, operated by SemaBytes Corp. d/b/a Sheetward ("Sheetward"), by a customer who accepts an invitation ("you"). They add to the Sheetward Terms of Service and are read together with the Privacy Policy, the Acceptable Use Policy and, where you are a business processing personal data of others, the Data Processing Addendum. If these Beta Program Terms conflict with the Terms of Service, these Beta Program Terms govern for the Beta Period only.

What the Beta Program is

Participation is by a single-use invitation link issued to a named contact at your business. Your workspace is placed on the Pro plan for the Beta Period at no charge. The Beta Period and its end date are stated in the invitation; Sheetward may extend the Beta Period by notice.

Beta nature of the service

The service is offered during the Beta Period as a pre-release evaluation. Features may be added, changed, limited or withdrawn without notice, and the service may be interrupted for maintenance or to correct problems.

Sheetward makes no availability, performance or support commitment for the Beta Period, offers no service credits, and may suspend or end the Beta Program at any time. Support is provided on a best-efforts basis through the in-product contact and support forms.

Nothing in this section reduces Sheetward's obligations for the security and confidentiality of your data under the Terms of Service, the Privacy Policy and the Data Processing Addendum, which apply in full during the Beta Period.

Fees, and what happens when the Beta Period ends

No fees are charged for the Beta Period, and there is nothing to refund.

Before the Beta Period ends, Sheetward will offer you a paid plan at the price stated in the offer (a founding price, if one is offered, is fixed for the term stated in the offer). If you accept, your workspace continues without interruption on that plan from the end of the Beta Period.

If you do not accept a paid plan, your workspace expires when the Beta Period ends. You keep access for the access grace stated in the Terms of Service (currently seven days) so you can take a final export, after which the workspace is locked and the retention and deletion rules of the Terms of Service and the Privacy Policy apply, including the reminder emails sent before the deletion date. Nothing is deleted at the end of the Beta Period itself.

Automatic hosted backups are not part of the Pro plan. During the Beta Period you are responsible for taking exports of data you cannot afford to lose.

Your data

You may use real business data during the Beta Period. The Privacy Policy and, where applicable, the Data Processing Addendum apply to it exactly as they will after public launch.

The restrictions on regulated data in the Terms of Service apply during the Beta Period. Do not upload data whose handling requires certifications or contractual terms that Sheetward has not stated it holds.

Feedback and check-ins

Sheetward may ask for a short check-in (expected weekly, around twenty minutes) with your named contact, and may collect product usage information as described in the Privacy Policy, to improve the service.

You grant Sheetward a perpetual, royalty-free licence to use feedback, suggestions and usage observations from the Beta Program for any purpose, without obligation to you. Sheetward will not name your business, or quote you, in public without your written consent.

Pre-release confidentiality

Features, prices and materials marked as pre-release, and the terms of any founding offer made to you, are confidential until Sheetward makes them public. Please do not publish screenshots, benchmarks or descriptions of pre-release features without Sheetward's consent. This does not restrict you from discussing your own use of the service with your own advisers or staff.

Ending participation

You may leave the Beta Program at any time by closing the workspace in the Admin Console or by notice to Sheetward. Sheetward may end your participation on notice, and immediately for a breach of the Acceptable Use Policy. If Sheetward ends your participation, the section on the end of the Beta Period applies to your workspace and data; if you close the workspace, the closure rules of the Terms of Service apply.

Liability, warranties and general terms

The exclusions and limitations of liability, the disclaimers of warranty, the governing-law and dispute-resolution clauses, and the general terms of the Terms of Service apply to the Beta Program without change. No additional warranty is given for pre-release features.

Acceptance and record

These Beta Program Terms are accepted by the workspace owner by ticking the acceptance box at sign-up through the invitation link. Sheetward records the version accepted, the time and the accepting account, as it does for the Terms of Service and the Privacy Policy, and makes the accepted version available at a permanent address.
