Sheetward Early Access Waitlist Terms

These Sheetward Early Access Waitlist Terms ("Terms") govern your use of the Sheetward website at sheetward.com and your participation in the Sheetward Early Access Waitlist. By checking the acceptance box and submitting the waitlist form, you agree to these Terms. If you do not agree, do not submit the form.
Who we are
Sheetward is operated by Semabytes Corp., 5900 Balcones Drive STE 100, Austin, TX 78731, USA ("Sheetward", "we", "us"). You can reach us at info@sheetward.com. In these Terms, the "Service" means this website and the Sheetward Early Access Waitlist.
The Waitlist — what joining means
Sheetward is currently in a pre-launch waitlist phase. Joining the Waitlist registers your interest only. It does not grant access to the Sheetward application, and it does not guarantee an invitation, a launch date, a service level, a price, a discount, or any other benefit.
If you are invited to test or use the Sheetward application before public launch, you will be asked to accept separate Beta or Early Access Product Terms before receiving access. Any planned waitlist or founding-member benefits are subject to eligibility and final launch terms unless Sheetward expressly confirms otherwise in writing.
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. If you use it on behalf of an organisation, you confirm that you are authorised to accept these terms for that organisation.
Acceptable use
You agree to use the Service only for lawful purposes and not to: break any law or infringe anyone's rights; submit content that is unlawful, infringing, or harmful, or that you have no right to share; attempt to gain unauthorised access to, disrupt, or overload the Service or its infrastructure; probe or test the vulnerability of the Service without our written permission; or use automated means to scrape the site beyond what a public search engine does.
We may suspend or withdraw access to the Service, in whole or in part, if we reasonably believe these terms are being breached.
Feedback and submissions
You may voluntarily provide feedback, ideas, or descriptions of use cases through the Waitlist form. Sheetward may use that feedback to evaluate, develop, and improve its products without restriction or compensation to you.
Do not submit confidential, proprietary, regulated, or sensitive personal information through the Waitlist form.
Our intellectual property
The Service itself — the Sheetward name and logo, the website, its text and design, and the underlying software — belongs to Semabytes Corp. or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the website for its intended purpose. These terms do not transfer any of our intellectual-property rights to you.
Third-party services
Sheetward uses service providers to host and protect the website, to process Waitlist submissions, and to deliver email. Our handling of personal data through these providers is described in the Privacy Policy. The website may also link to independently operated third-party websites or services; their terms and privacy practices apply to your use of those external services.
No warranty
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. During early access in particular, the Service may be incomplete, interrupted, or change without notice, and we do not warrant that it will be uninterrupted, error-free, or secure.
Limitation of liability
To the fullest extent permitted by law, Semabytes Corp. and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or relating to your use of the Service. To the extent liability cannot be excluded, our total liability for any claim relating to the Service is limited to one hundred U.S. dollars (US$100). Nothing in these terms limits liability that cannot be limited under applicable law.
Indemnity
You agree to indemnify and hold Semabytes Corp. harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms or your unlawful use of the website.
Changes to these terms
We may update these Terms from time to time. When we do, we will change the "last updated" date above, and material changes will be reflected on this page. Where a change materially affects Waitlist members, we will also tell you by email at the address you registered, when practical. Your continued participation in the Waitlist after an update means you accept the revised Terms.
Translations
These Terms are published in several languages for convenience. If the versions differ, the English version controls, except where the law of your country of residence requires otherwise.
Governing law
These terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules, and the courts located in Travis County, Texas will have jurisdiction — except where mandatory consumer-protection law in your country of residence gives you the right to bring proceedings locally.
